3. Scope of Work
Our fees cover the services specifically included within the agreed scope of work.
Any work requested outside that scope may be treated as additional work.
Where reasonably practicable, Lunar Reach will notify the Client before undertaking additional chargeable work.
Unless otherwise agreed, additional work will be charged at:
£75 + VAT per hour
Urgent or priority work requested outside the agreed scope may be charged at:
£95 + VAT per hour
A minimum charge of 30 minutes may apply to ad-hoc work.
Where additional work is substantial, Lunar Reach may provide a separate fixed quotation instead of charging by the hour.
No additional chargeable work will normally be undertaken without the Client’s approval.
4. Monthly Services and Retainers
Unless otherwise agreed in writing, Lunar Reach’s ongoing services operate on a rolling monthly basis.
Monthly fees cover only the work included within the Client’s agreed package or scope.
Monthly retainers do not provide unlimited hours, unlimited revisions or unlimited access to Lunar Reach unless specifically stated otherwise.
Lunar Reach may determine how work within the agreed scope is prioritised and scheduled based on campaign performance, strategy and business requirements.
Unused time, work or allowances do not automatically roll over into future months unless expressly agreed.
5. No Long-Term Contracts and Cancellation
Unless a different minimum term has been expressly agreed in writing, Lunar Reach’s monthly services do not require a long-term contract.
Either party may terminate an ongoing monthly service by providing 30 days’ written notice.
Cancellation notices should be sent to:
Fees falling due during the notice period remain payable.
Lunar Reach will normally continue providing the agreed services during the notice period unless otherwise agreed.
Cancellation does not remove the Client’s obligation to pay outstanding invoices, advertising costs, third-party charges or fees for work already completed or authorised.
6. Fees and Payment
Fees will be stated within the applicable proposal, quotation, invoice or agreement.
Unless otherwise agreed:
- Monthly services are payable in advance.
- Website and other project-based work may require a deposit before work commences.
- Remaining project balances are payable according to the agreed payment schedule.
- Advertising spend is separate from Lunar Reach’s management fees.
- Third-party costs are separate unless specifically included.
- Additional work outside the agreed scope is chargeable separately.
Where VAT is applicable, VAT will be charged at the prevailing rate.
Invoices must be paid by the due date shown on the invoice.
7. Deposits
Where a deposit is required, work will not normally commence until the deposit has been received.
Once work has commenced, deposits are non-refundable except where required by applicable law or expressly agreed otherwise.
Where the Client cancels a project after work has commenced, Lunar Reach may invoice for work already completed and any non-refundable third-party costs incurred.
8. Late Payment
If an invoice becomes overdue, Lunar Reach reserves the right to suspend or postpone services until outstanding amounts have been paid.
Where services are suspended because of non-payment, Lunar Reach will not be responsible for resulting losses in rankings, advertising performance, website availability, enquiries or other marketing performance where those losses arise from the reasonable suspension.
Where applicable, Lunar Reach reserves the right to exercise its statutory rights concerning late commercial payments, including interest and reasonable debt-recovery costs.
9. Website Design and Development
Website projects will be delivered according to the agreed scope.
Unless otherwise stated, quotations cover only the pages, functionality, integrations and other work specifically described within the proposal.
Requests for additional pages, functionality, integrations or significant design changes may be treated as additional work.
Any completion or launch date provided is an estimate unless expressly agreed as a fixed deadline.
Delays caused by the Client, including delays in providing content, photographs, feedback, approvals, access credentials or other required information, may affect the delivery date.
10. Website Revisions
Where revisions are included within a project, these cover reasonable amendments to work produced according to the original brief.
A revision does not include a substantial change to the agreed design, functionality, structure or project specification.
Work that materially changes the original brief may be quoted separately or charged at the applicable hourly rate.
11. Website Ownership
Subject to full payment of all relevant invoices, the Client will normally own the bespoke website content and design work produced specifically for their business.
This does not transfer ownership of third-party software or intellectual property including:
- WordPress
- Elementor
- Astra
- WooCommerce
- Plugins
- Themes
- Fonts
- Stock photography
- APIs
- Software libraries
- Third-party integrations
These remain subject to their respective licences and terms.
Lunar Reach retains ownership of its pre-existing systems, methods, processes, templates, reusable code, techniques and know-how.
12. Plugins, Themes, Software and Licences
Websites may depend upon third-party software including WordPress, Elementor, Astra, WooCommerce and other plugins, themes, APIs and external services.
Third-party providers may change their products, pricing, functionality or licensing arrangements at any time.
They may also discontinue products or introduce updates that cause compatibility issues.
Lunar Reach cannot guarantee the continued availability, compatibility or functionality of third-party products.
Where Lunar Reach makes a premium plugin, theme or software product available through an agency licence, that licence may only remain available while the Client maintains the relevant service with Lunar Reach.
Following termination, the Client may need to purchase their own licence to continue receiving updates, support or premium functionality.
13. Hosting, Website Maintenance and Security
Hosting, maintenance, backups, malware monitoring, security and software updates are only included where specifically agreed.
While Lunar Reach takes reasonable precautions when maintaining websites, no website or computer system can be guaranteed to be completely secure.
Lunar Reach cannot guarantee that a website will never experience:
- hacking;
- malware;
- vulnerabilities;
- downtime;
- data loss;
- software conflicts; or
- third-party service failures.
Where such an incident occurs, remediation work may be included within an existing maintenance agreement or quoted separately depending on the circumstances and agreed service.
14. Search Engine Optimisation
SEO involves improving a website’s visibility and ability to perform within search engines.
Search engines are operated by independent third parties and their algorithms, policies and ranking systems change regularly.
Lunar Reach therefore does not guarantee any particular search ranking, position, level of traffic, number of enquiries, sales or revenue.
Previous results, case studies and performance examples do not guarantee that the same results will be achieved for another Client.
SEO performance can be affected by factors outside Lunar Reach’s control, including:
- search engine algorithm updates;
- competition;
- market conditions;
- changes made to the website by others;
- website history;
- domain authority;
- third-party websites;
- consumer behaviour; and
- search engine policies.
The Client acknowledges that SEO is generally an ongoing process and meaningful results may take time.
15. Google Ads and Paid Advertising
Lunar Reach may create, manage and optimise advertising campaigns on platforms including Google Ads and Meta.
Unless specifically stated otherwise, advertising spend is separate from Lunar Reach’s management fee.
The Client is responsible for maintaining valid payment methods and sufficient advertising funds within advertising platforms.
Lunar Reach does not guarantee any particular:
- number of clicks;
- number of enquiries;
- number of sales;
- conversion rate;
- cost per click;
- cost per lead;
- return on advertising spend; or
- level of revenue.
Paid advertising performance may be affected by competition, bidding environments, platform algorithms, market demand, budgets and other factors outside Lunar Reach’s control.
16. Advertising Accounts
Where reasonably possible, advertising accounts should be owned by or accessible to the Client.
Lunar Reach may require administrator, manager or other appropriate access to manage campaigns.
The Client remains responsible for charges made directly by advertising platforms to their account.
Following termination of our services, Lunar Reach may remove its access while the Client retains access to their own advertising account, subject to the relevant platform’s terms.
17. Social Media Management
Where Lunar Reach provides social media management, services may include content creation, graphics, scheduling, publishing, strategy and account management according to the agreed scope.
The Client is responsible for supplying accurate information regarding their business, services, pricing, promotions and other factual information.
Lunar Reach does not guarantee particular levels of followers, engagement, reach, enquiries or sales.
Social media performance can be affected by algorithm changes, platform restrictions, market conditions and other factors outside our control.
18. Email Marketing
Where Lunar Reach provides email marketing services, the Client is responsible for ensuring that customer or prospect information supplied to us has been collected and may be used lawfully.
The Client must not knowingly provide Lunar Reach with purchased, unlawfully obtained or otherwise non-compliant marketing databases.
Lunar Reach does not guarantee email delivery rates, open rates, click rates, enquiries or sales.
19. Client Responsibilities
The Client agrees to provide Lunar Reach with information, access and cooperation reasonably required to perform the agreed services.

- Google accounts;
- Google Business Profiles;
- Google Ads;
- Google Analytics;
- Google Search Console;
- social media accounts;
- email marketing platforms;
- CRM systems; and
- other relevant systems.
The Client is responsible for ensuring information supplied to Lunar Reach is accurate.
The Client must also have the necessary rights and permissions to use any photographs, logos, trademarks, text, customer information or other materials supplied to Lunar Reach.
20. Client Approvals
Where Lunar Reach requests approval for advertisements, website designs, content, social posts, email campaigns or other materials, we may rely upon the Client’s approval.
The Client should check factual information including:
- prices;
- contact details;
- product information;
- service information;
- dates;
- offers;
- legal claims; and
- business information.
Once approved, Lunar Reach will not be responsible for errors that were present within materials specifically approved by the Client, except where Lunar Reach subsequently introduces an error.
21. Third-Party Services
Our services may depend upon third-party providers including Google, Meta, WordPress, Elementor, hosting companies, domain providers, email services, analytics providers and software developers.
Lunar Reach is not responsible for failures caused solely by third-party providers outside our reasonable control, including:
- outages;
- service interruptions;
- account restrictions;
- algorithm changes;
- policy changes;
- software vulnerabilities;
- discontinued functionality; or
- changes to third-party pricing.
Where possible, Lunar Reach will assist the Client in responding to issues affecting services we manage.
22. Results and Performance
Digital marketing contains variables that cannot be controlled by Lunar Reach.
While we will provide the agreed services with reasonable care and skill, we cannot guarantee specific commercial results.
Any forecasts, estimates, projections or examples supplied by Lunar Reach are provided for guidance and should not be interpreted as guaranteed results.
The Client remains responsible for business decisions made using marketing information supplied by Lunar Reach.
23. Intellectual Property
Once all relevant invoices have been paid, the Client may use bespoke materials produced specifically for their business according to the purpose for which they were created.
Lunar Reach retains ownership of its:
- methodologies;
- internal processes;
- reusable templates;
- systems;
- frameworks;
- reusable code;
- know-how; and
- other pre-existing intellectual property.
The Client may not resell, licence or commercially redistribute Lunar Reach’s proprietary materials without written permission.
24. Portfolio and Case Studies
Unless the Client requests otherwise in writing, Lunar Reach may identify the Client as a customer and display work completed for them within our website, portfolio, proposals, social media and other marketing materials.
This may include publicly available:
- website designs;
- branding;
- campaign examples;
- screenshots;
- marketing materials; and
- performance results.
Where performance statistics are used, Lunar Reach will take reasonable steps to present the information accurately and with appropriate context.
Confidential or commercially sensitive information will not knowingly be disclosed without permission.
Clients may contact terms@lunar-reach.co.uk if they do not wish particular work or information to be used within our portfolio or case studies.
25. Confidentiality
Both parties agree to treat confidential business information received during the relationship as confidential.
Neither party will unnecessarily disclose confidential information to third parties.
This does not prevent information being disclosed where:
- required by law;
- required to perform the agreed services;
- supplied to an authorised contractor or service provider who reasonably requires it; or
- the information is already legitimately public.
26. Data Protection
Both parties will comply with applicable UK data protection legislation when processing personal information.
Where Lunar Reach processes personal data on behalf of the Client, additional data-processing provisions or a Data Processing Agreement may be required.
How Lunar Reach processes personal information relating to its own website visitors, prospects and Clients should also be explained within the Lunar Reach Privacy Policy.
27. Passwords and Account Security
Clients may provide Lunar Reach with access to accounts and systems required to deliver the services.
Lunar Reach will take reasonable precautions when handling credentials and account access.
Clients are encouraged to use strong passwords and multi-factor authentication wherever available.
Where possible, dedicated user access should be provided instead of sharing primary account credentials.
28. Changes Made by the Client or Third Parties
Lunar Reach cannot accept responsibility for problems caused by changes made by the Client or another supplier to work previously completed by Lunar Reach.
This includes changes to websites, code, plugins, advertising campaigns, tracking systems, SEO settings and other configurations.
Where Lunar Reach is asked to investigate or correct problems resulting from third-party or Client modifications, that work may be charged separately.
29. Backups
Clients should maintain appropriate backups of important business data.
Where Lunar Reach provides website backup services, these will be delivered according to the relevant maintenance agreement.
No backup system should be considered an absolute guarantee against data loss.

Lunar Reach reserves the right to suspend or terminate services where there is a reasonable basis to do so, including:
- persistent non-payment;
- serious breach of these Terms;
- unlawful activity;
- requests to carry out unlawful or unethical activity;
- abusive or threatening behaviour;
- misuse of our services; or
- circumstances creating an unreasonable legal, security or financial risk.
Where reasonably possible, Lunar Reach will provide notice and an opportunity to resolve the issue before termination.
Termination does not remove the Client’s obligation to pay amounts already due.
31. Limitation of Liability
Nothing within these Terms excludes or restricts liability where doing so would be unlawful.
To the extent permitted by law, Lunar Reach will not be liable for indirect or consequential losses arising from the provision of our services, including loss of anticipated profits, revenue, business opportunities or goodwill.
Lunar Reach will not be responsible for losses arising solely from circumstances outside our reasonable control, including third-party platform outages, algorithm changes, hosting failures, Client actions or unauthorised changes made by third parties.
For business Clients, and to the extent permitted by law, Lunar Reach’s aggregate liability arising from a particular service will be limited to the fees paid to Lunar Reach for that service during the six months immediately preceding the event giving rise to the claim.
For a one-off project completed within a shorter period, liability will be limited to the amount paid for the relevant project.
Nothing in these Terms excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot legally be excluded.
32. Indemnity
The Client is responsible for materials and instructions they supply to Lunar Reach.
To the extent permitted by law, the Client agrees to be responsible for reasonable losses, claims or costs incurred by Lunar Reach as a direct result of materials supplied by the Client infringing another party’s intellectual property rights, or instructions supplied by the Client requiring Lunar Reach to undertake unlawful activity, provided Lunar Reach was not independently responsible for the infringement or unlawful act.
33. Force Majeure
Neither party will be responsible for a failure or delay caused by events beyond its reasonable control.
These may include major internet or telecommunications outages, natural disasters, serious illness, war, civil disturbance, government restrictions or widespread failures of essential third-party infrastructure.
The affected party should notify the other party as soon as reasonably practicable.
34. Changes to Services and Pricing
Lunar Reach may change its general pricing from time to time.
Where a pricing change affects an existing ongoing Client, reasonable advance notice will be provided.
Changes to pricing will not normally apply retrospectively.
Where the Client changes the scope of an existing service, Lunar Reach may provide revised pricing.
35. Changes to These Terms
Lunar Reach may update these Terms from time to time to reflect changes in our services, business practices or applicable law.
Where a material change affects an existing ongoing agreement, we will provide notice where appropriate.
